Terms & Conditions

This document serves as a legal agreement between you and Supply Chain Afrika Magazine. It is essential that you read through all of the terms and conditions (the “Agreement”) of the use of the Supply Chain Afrika Platforms (which include websites and mobile applications). Supply Chain Afrika Magazine is willing to provide you with the right to use the platforms, yet only on the condition that you accept all of the conditions and terms set out in this Agreement. If you do not agree to all of these terms, you must discontinue use of the Supply Chain Afrika Magazine Platforms.

Upon installation, access or use of the Supply Chain Afrika Platforms, by clicking “ I ACCEPT ” at the end of the Agreement, you are confirming that you have read and comprehended the Agreement and its terms and conditions, and are legally obliged to abide by them.

1. LICENSE PROVISION. Provided that you abide by this Agreement, Supply Chain Afrika Magazine grants you a single, revocable, restricted, non-transferrable, and non-sub-licensable permission to access and utilize the Supply Chain Afrika Magazine Platforms for the duration of this Agreement on your private computer, laptop, mobile phone, or other mobile computing device only for personal or internal business purposes.

This license permits you to allow an individual employee(s) (each referred to as an “Authorised User(s)”) to access and use the Supply Chain Afrika Platforms, as long as the use remains in accordance with the terms and conditions of this Agreement. You accept and acknowledge that you are responsible for overseeing and monitoring the use of the Supply Chain Afrika Platforms by you and any Authorised User(s), and that any breach of this Agreement by an Authorised User(s) will be regarded as a breach by you. In relation to this license, when this Agreement mentions “you” or “user”, it is referring to you, any Authorised User(s), and the corporate or entity-level client of Supply Chain Afrika Magazine that has access to the Supply Chain Afrika Platforms as per any other agreement with Supply Chain Afrika Magazine.

Supply Chain Afrika Magazine reserves the right to decide the format, arrangement, and components of their online and remote access platforms. Furthermore, Supply Chain Afrika Magazine is entitled to recruit third-party contractors, consultants, or subcontractors to help in providing the Platforms. Additionally, Supply Chain Afrika Magazine has the authority to make their Platforms available to other entities.

2. RESTRICTIONS ON USE. Supply Chain Afrika Magazine reserves all rights not expressly granted in this Agreement. Thus, you may only use the Supply Chain Afrika Platforms in a way that is expressly and unambiguously authorised by this Agreement. You are not allowed to modify, reproduce, duplicate, copy, download, store, transmit, disseminate, transfer, disassemble, broadcast, publish, remove or alter any proprietary notices or labels, license, sublicense, sell, mirror, frame, rent, lease, private label, grant a security interest in, create derivative works of, or otherwise exploit the Supply Chain Afrika Platforms, or any portion of the Supply Chain Afrika Platforms without Supply Chain Afrika Magazine’s prior written consent except as expressly and unambiguously authorised herein. Additionally, you must not:

  • Use any “deep link,” “page scrape,” “robot,” “spider,” or other automatic device, program, script, algorithm, or methodology, or any similar or equivalent manual process, to access, acquire, copy, or monitor any portion of the Supply Chain Afrika MagazinePlatforms or in any way reproduce or circumvent the navigational structure or presentation of the Supply Chain Afrika Platforms to obtain or attempt to obtain any materials, documents, or information through any means not purposely made available through the Supply Chain Afrika Platforms.
  • Attempt to gain unauthorised access to any portion or feature of the Supply Chain Afrika Platforms or any other systems or networks connected to the Supply Chain Afrika Platforms or to any Supply Chain Afrika Magazine server or to any of the services offered on or through the Supply Chain Afrika Platforms, by means of hacking, password “mining,” or any other illegitimate or prohibited methods.
  • Probe, scan, or test the vulnerability of the Supply Chain Afrika Platforms or any network connected to the Supply Chain Afrika Platforms, nor breach the security or authentication measures on the Supply Chain Afrika Platforms or any network connected to the Supply Chain Afrika Platforms.
  • Reverse look-up, trace, or seek to trace any information on any other user of or visitor to the Supply Chain Afrika Platforms.
  • Take any action that imposes an unreasonable or disproportionately large load on the infrastructure of the Supply Chain Afrika Platforms or Supply Chain Afrika Magazine’s systems or networks or any systems or networks connected to the Supply Chain Afrika Platforms.
  • Use any device, software, or routine to interfere with the proper working of the Supply Chain Afrika Platforms or any transaction conducted on the Supply Chain Afrika Platforms, or with any other person’s use of the Supply Chain Afrika Platforms.
  • Forge headers, impersonate a person, or otherwise manipulate identifiers in order to disguise your identity or the origin of any message or transmittal you send to Supply Chain Afrika on or through the Supply Chain Afrika Platforms.
  • Use the Supply Chain Afrika Platforms in an unlawful manner.

3. ATTRIBUTION. In order to demonstrate Supply Chain Afrika Magazine’s ownership of the Supply Chain Afrika Platforms and to protect their interests related to it, you must ensure proper notice and attribution when using the Supply Chain Afrika Platforms. Furthermore, any printouts or subsequent uses of content from the Supply Chain Afrika Platforms should include the information, “Copyright (C) Supply Chain Afrika (or its licensors)” as well as other details specified by Supply Chain Afrika. In accordance with this, Supply Chain Afrika grants you a limited, non-transferable, non-exclusive right and license to employ the full trade name of “Supply Chain Afrika” only in association with your attribution of the relevant content. You must stick to any guidelines for use provided by Supply Chain Afrika during the period of this Agreement.

4. USER RESPONSIBILITIES. By downloading, accessing, or making use of the Supply Chain Afrika Platforms, you confirm and guarantee that you will comply with all applicable local, state, and national laws related to your use of the Supply Chain Afrika Media Platforms, and that you are of the legal age of majority. Additionally, you agree to take full responsibility for your use of the Supply Chain Afrika Platforms, including any activity that occurs through your username and associated account access. Furthermore, you declare that (i) you will always provide accurate, up-to-date, and full information (as well as any updates to such information) when submitting data to Supply Chain Afrika through the Supply Chain Afrika Platforms; and (ii) you will always adhere to the terms and conditions of this Agreement. Additionally, by installing, accessing, or using the Supply Chain Afrika Platforms, you accept allowing Supply Chain Afrika to collect specific information regarding your utilization of the Supply Chain Afrika Platforms (including, but not limited to, certain data regarding feature utilisation, navigation, and personal information ( e.g., name, email, etc.), and pledge to give Supply Chain Afrika reasonable cooperation in connection with the operation of or support for the Supply Chain Afrika Platforms. You likewise consent to receiving electronic communications from Supply Chain Afrika. These electronic communications may include notices related to applicable fees and charges, transactional information, and other details concerning or relating to the Supply Chain Afrika Platforms or Supply Chain Afrika Magazine’s services. These electronic communications are part of your association with Supply Chain Afrika, and you receive them as part of your utilization of the Supply Chain Afrika Platforms. Thus, you hereby agree that any such notices, agreements, disclosures, or other communications that Supply Chain Afrika sends to you electronically will fulfil any legal communication requirements.

6. FEEDBACK. Supply Chain Afrika would be grateful to receive your feedback and ideas for improving their products, services, or the Supply Chain Afrika Platforms. By sending Supply Chain Afrika any suggestions, material, or other content (“Feedback”), you guarantee that it does not breach any third party’s intellectual property rights (such as copyrights, patents, or trademarks). Additionally, Supply Chain Afrika is given royalty-free, perpetual, irrevocable, transferable, non-exclusive rights to utilize, publish, reproduce, disseminate, transmit, distribute, copy, create derivative works of, and show the Feedback in any form, media, or technology; without requiring any additional approval or compensation. You hereby waive any claims in this respect.

7. RELATION TO EXTERNAL SITES. The Supply Chain Afrika Platforms may lead to particular sites or online networks that are owned, operated and/or managed solely by third-party organizations (collectively, “Third-Party Sites”). Supply Chain Afrika has not reviewed such Third-Party sites, and does not exercise any control over them. All dealings with third parties through any Third-Party site on the Supply Chain Afrika Platforms are the responsibility of the user. Thus, Supply Chain Afrika explicitly disclaims and shall not be liable for any Third-Party sites.

8. MOBILE SERVICES. The Supply Chain Afrika Platforms provides an assortment of tools or display features that can be accessed through your mobile phone or other mobile computing device (referred to collectively as “Mobile Services”). Note that your mobile carrier’s standard messaging, data, and other rates and fees will be applicable to your use of the Mobile Services. Furthermore, downloading, installing, or using certain Mobile Services may be forbidden or limited by your mobile carrier, and not all Mobile Services may work with all carriers or devices or in all areas. Consequently, you are solely responsible for verifying with your mobile carrier to determine if the Mobile Services are available to your mobile devices; if any restrictions are applicable to your use of the Mobile Services; and how much such use will cost you. Nevertheless, all use of the Supply Chain Afrika Platform must still comply with this Agreement.

9. RIGHTS OF OWNERSHIP. This Agreement provides only a limited authorization for you to access and utilize the Supply Chain Afrika Platforms according to the provisions of this Agreement. Therefore, you understand that Supply Chain Afrika does not give any ownership or intellectual property interests or title in and to the Supply Chain Afrika Platforms or any other Supply Chain Afrika intellectual property to you or anyone else related to your usage of the Supply Chain Afrika Platform. Every single text, graphics, user interfaces, visual interfaces, photographs, sounds, artwork, computer code (including html code), programs, software, products, information, and documentation as well as the design, structure, selection, coordination, expression, “look and feel,” and arrangement of any content found on or accessible through the Supply Chain Afrika Platforms are only owned, controlled, and/or authorized by Supply Chain Afrika or its licensor(s). Supply Chain Afrika Magazine, and any other marks that recognize the products or services of Supply Chain Afrika are exclusive trademarks of Supply Chain Afrika, and any usage of these marks, comprising, without limitation, as domain names, account identifiers, or in connection with any search engine optimization practice(s), without the prior express written permission of Supply Chain Afrika is strictly prohibited.

10. PRIVACY POLICY. The Supply Chain Afrika Privacy Policy (located at https://supplychainafrika.com/privacy-policy/) outlines the manner in which Supply Chain Afrika collects and utilises location-based information or personally identifiable information. This Privacy Policy applies to all use of the Supply Chain Afrika Platforms and the collection of personally identifiable information via the Supply Chain Afrika Platforms.

11. DISCLAIMER. THE SUPPLY CHAIN AFRIKA PLATFORMS ARE PROVIDED “AS-IS” AND MAY CONTAIN MISTAKES, OMISSIONS, OR OTHER INACCURACIES. SUPPLY CHAIN AFRIKA DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING, WITHOUT LIMITATION, ANY GUARANTEE OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT OR ANY OTHER IMPLIED WARRANTY UNDER THE UNIFORM COMPUTER INFORMATION TRANSACTIONS ACT AS ENACTED BY ANY STATE. SUPPLY CHAIN AFRIKA DOES NOT GUARANTEE THAT THE SUPPLY CHAIN AFIRKA PLATFORMS WILL OPERATE WITHOUT ERRORS, UNINTERRUPTED, OR MEET YOUR SPECIFIC REQUIREMENTS OR NEEDS. THEREFORE, YOU BEAR THE ENTIRE RISK REGARDING THE QUALITY AND/OR PERFORMANCE OF THE SUPPLY CHAIN AFRIKA PLATFORMS.

12. Limitations of Liability. You hereby exonerate and release Supply Chain Afrika from any claims of harm caused by factors outside of Supply Chain Afrika Magazine’s control, including but not limited to technical equipment breakdowns, telephone connection issues, computer viruses, unauthorized access, theft, weather-related events, labor disputes, wars, or governmental restrictions. Moreover, in no event shall Supply Chain Afrika be held liable for any indirect, punitive, incidental, special, or consequential damages related to dealings or agreements with third parties, any delay or inability to use the Supply Chain Afrika platforms, the procurement of substitute services, or any information, software, or materials available through the Supply Chain Afrika platforms, regardless of the cause of action (contract, tort, strict liability, etc.), and even if Supply Chain Afrika had prior knowledge of potential damages. In addition, Supply Chain Afrika Magazine’s total liability for any reason related to the Supply Chain Afrika platforms shall not exceed two hundred pounds (£200) (GBP) or the amount paid by you to Supply Chain Afrika in the twelve (12) months preceding any claim, whichever is greater.

13. INJUNCTIVE RELIEF. Supply Chain Afrika would suffer irreparable injury in the event of a breach of this Agreement, which could not be adequately remedied in a court of law. As such, Supply Chain Afrika is entitled to the right to seek an injunction from a court of competent jurisdiction in order to restrain any breach of the obligations stated in this Agreement, in addition to any other remedies available.

14. SECURITY & ENFORCEMENT. Any use or attempted use of the Supply Chain Afrika Platforms that is contrary to this Agreement may result in criminal and/or civil punishment, such as sanctions outlined in the Computer Misuse Act (UK) and the Computer Fraud and Abuse Act of 1986 (USA). Supply Chain Afrika holds the right to review, monitor, and/or record any data about your use of the Supply Chain Afrika Platforms (known as “User Information”) without any prior notice or permission from you, which could include archiving content and/or communications sent by you. Additionally, if there is an investigation or proceedings of possible unlawful activity, the User Information obtained from you can be shared with any law enforcement agency. Supply Chain Afrika also reserves the right to modify, suspend, terminate, and/or interrupt the operation of or access to the Supply Chain Afrika Platforms, or any section of it, to protect the Supply Chain Afrika Platforms, Supply Chain Afrika intellectual property, and/or the business interests of Supply Chain Afrika and/or its members and affiliates at any time and without prior warning.

15. GOVERNING LAW. The present contract has been created and applied according to the laws of the United Kingdom. By agreeing to this agreement, you are subject to the jurisdiction and venue of any court in England, waiving any objections to such jurisdiction, and further to a jury trial in any action. Claims that you may have against Supply Chain Afrika must be brought forth within one year from the cause of action arising, or such claim or cause of action shall be deemed barred. In any legal proceeding brought by Supply Chain Afrika, the right to seek and be awarded with all reasonable legal fees and costs in addition to any other relief, at law or in equity, to which Supply Chain Afrika may be entitled is granted. Printed versions of this Agreement and any related notices given in electronic form are allowed to be used in judicial or administrative proceedings based upon or related to this Agreement, with the same degree of validity as other documents and records originally printed. You may print a copy of this Agreement or contact Supply Chain Afrika if you wish to receive a printed copy.

16. TERM AND TERMINATION. This Agreement will become effective when you click “I ACCEPT”, download the Supply Chain Afrika Platforms, or start using the Supply Chain Afrika Platforms, whichever happens first. The Agreement will end automatically if (i) you don’t follow any of its conditions, or (ii) you stop using the Supply Chain Afrika Platforms. The termination will be immediate and without warning. Additionally, Supply Chain Afrika reserves the right to terminate this Agreement at any time and for any or no reason, with notice provided to you. Upon termination of this Agreement, you must immediately cease all use of the Supply Chain Afrika Platforms and delete or destroy all copies of the Supply Chain Afrika Platforms you have in your possession or control. Sections 2, 6, 9 and 11-19 will continue to apply even after the Agreement is ended.

17. WAIVER & SEVERABILITY. If Supply Chain Afrika neglects to enforce strictly any of the terms and conditions of this Agreement, this will not be interpreted as a waiver for any future or other default or failing in the performance. In the event that any part of this Agreement is ruled invalid or unenforceable by a competent court of justice in accordance with applicable law or court order, including but not limited to the warranty disclaimers and the liability limitations expressed above, then the invalid or unenforceable clause will be superseded by a valid, enforceable provision(s) that most closely reflects the original intent and the rest of the Agreement will remain in force.

18. OTHER APPLICABLE TERMS. Other notices, terms, and conditions may be applicable to the use of other products and services provided by Supply Chain Afrika. In the event of any potential conflicts between this Agreement and any other notices, terms, or conditions, Supply Chain Afrika will use its discretion to work out a solution in good faith, but this Agreement will generally govern when it comes to accessing and utilizing the Supply Chain Afrika Platforms.

19. OTHEMISCELLANEOUS. You agree that this Agreement is in addition to any terms and conditions imposed or required by Apple Inc., Google, Inc., Microsoft, Inc. or any other digital download platform from which you download the Supply Chain Afrika Platforms (“App Provider Terms”). This Agreement serves to supplement, not alter or amend, any App Provider Terms. No joint venture, partnership, employment, or agency relationship is created between you and Supply Chain Afrika because of this Agreement or your use of the Supply Chain Afrika Platforms. Headings are provided for convenience only. This Agreement and the Supply Chain Afrika Privacy Policy located at http://www.supplychainafroka.com/privacy-policy/ constitute the complete agreement between you and Supply Chain Afrika regarding the use of the Supply Chain Afrika Platforms and replace all prior and/or simultaneous communications and proposals, whether electronic, oral, or written, between you and Supply Chain Afrika. Any attempts to assign, delegate, or transfer rights under this Agreement require the express written consent of Supply Chain Afrika, which may be withheld in Supply Chain Afrika Magazine’s sole discretion.

Supply Chain Afrika Magazine may revise these terms and conditions at any time by posting or sending a revised version of the Agreement and may do so without advance notice to you. Therefore, you should review the terms and conditions found at this location periodically. Whenever you use the Supply Chain Afrika Platforms, you agree to be bound by the Agreement in effect at the time. If you do not agree to the revised terms, you should not use the Supply Chain Afrika Platforms.
